Please read these Terms of Service ("Terms") carefully before using VoxScribe ("Service"), operated by VoxScribe Inc. ("we," "our," or "us"). By accessing or using the Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account or using the Service, you agree to these Terms, our Privacy Policy, and any additional terms that may apply. If you do not agree, do not use the Service.

2. Description of Service

VoxScribe provides a cloud-based platform for building, deploying, and managing AI-powered chatbots. The Service includes a visual chatbot builder, integrations with third-party services, AI model access, and related tools and features.

3. Account Registration

  • You must provide accurate and complete registration information
  • You are responsible for maintaining the security of your account credentials
  • You must be at least 16 years old to use the Service
  • One person or legal entity may not maintain more than one free account
  • You are responsible for all activity that occurs under your account

4. Subscriptions and Billing

Plans and Pricing

The Service is offered in multiple tiers, including a free plan and paid subscription plans. Pricing is listed on our website and may change with 30 days' notice.

Billing

  • Paid plans are billed monthly or annually in advance
  • All fees are non-refundable unless otherwise stated
  • Failed payments may result in suspension of your account
  • You may cancel your subscription at any time; access continues until the end of the billing period

Free Trial

Paid plans may include a free trial period. At the end of the trial, you will be charged the applicable subscription fee unless you cancel before the trial expires.

5. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable laws or regulations
  • Infringe on intellectual property rights of others
  • Transmit malware, spam, or harmful content
  • Attempt to gain unauthorized access to the Service or other accounts
  • Interfere with or disrupt the Service or its infrastructure
  • Create chatbots that generate misleading, defamatory, or illegal content
  • Use the Service for any purpose that is harmful, fraudulent, or deceptive
  • Resell or redistribute the Service without written permission

6. Intellectual Property

Our Property

The Service, including its design, code, features, and documentation, is owned by VoxScribe Inc. and protected by intellectual property laws. You may not copy, modify, or reverse-engineer any part of the Service.

Your Content

You retain ownership of the chatbot configurations, training data, and content you create using the Service. By using the Service, you grant us a limited license to host, process, and display your content as necessary to provide the Service.

7. Third-Party Services

The Service integrates with third-party platforms and AI model providers. Your use of these integrations is subject to the respective third-party terms of service. We are not responsible for the availability, accuracy, or practices of third-party services.

8. Data and Privacy

Our collection and use of personal information is governed by our Privacy Policy. By using the Service, you consent to the practices described therein. You are responsible for ensuring your chatbots comply with applicable data protection laws regarding end-user data.

9. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access to the Service. We may perform maintenance, updates, or modifications that temporarily affect availability. We will provide reasonable notice for planned downtime.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, VOXSCRIBE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE.

Our total liability for any claims arising from the Service shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DISCLAIM ALL WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

12. Termination

We may suspend or terminate your access to the Service at any time for violation of these Terms or for any reason with 30 days' notice. Upon termination, your right to use the Service ceases, and we may delete your data after a 30-day grace period.

13. Modifications to Terms

We may modify these Terms at any time. Material changes will be communicated via email or prominent notice on the Service. Continued use after changes constitutes acceptance of the updated Terms.

14. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law provisions. Any disputes arising from these Terms shall be resolved in the state or federal courts located in Delaware.
